Robert N. Fass, being duly sworn, deposes and says:

     1.     I am a member of the firm of Friedman Krauss & Zlotolow, attorneys for Defendant, 350 Bleecker Street Apartment Corporation (the "Cooperative"). I submit this Reply affidavit in support of Defendant's cross-motion for summary judgment and in opposition to Plaintiff's and Additional Counterclaim Defendant's motion for summary judgment. I am personally familiar with the facts set forth herein.

     2.     Attached as Exhibit A hereto is a true and correct copy of the Cooperative's Amended Certificate of Occupancy dated October 17, 1991 as kept in the files of the New York City Department of Buildings. That document states that it is an "amended certificate of occupancy to remove non load bearing partition between Apt. 6V and 6W on the sixth floor to combine them as indicated on plans filed herewith."

     3.     Attached as Exhibit B hereto is a true and correct copy of a computer printout from the New York City Department of Buildings obtained by me from the Department's public data base. This record shows the issuance of all building permits for units in the Cooperative from January 1991 to the present. For the Court's convenience, I have bracketed the entries on this record that show the combination of apartments into a single dwelling unit.

     4.      The combination of apartments 6V and 6W is not shown on this record, since the permit pre-dated the earliest entry in the data base. That combination, however, is shown on the Cooperative's amended Certificate of Occupancy dated October 17, 1991 as set forth above.

     5.     The combination of units 4A and 4B into a single unit is also shown on the Cooperative's Certificate of Occupancy dated March 26, 1996, which indicates a reduction in the number of legal dwelling units from 21 to 20 on the Cooperative's fourth floor. (Exhibit H to the Stipulation of Undisputed Facts.) This combination is also shown on the computer record of the Department of Buildings, which shows approval as of 03/10/95.

     6.     The combination of units 3G and 3H into a single unit is shown on the Cooperative's Certificate of Occupancy dated April 7, 2000, which indicates a reduction in the number of legal dwelling units from 21 to 20 on the Cooperative's third floor. (Exhibit H to the Stipulation of Undisputed Facts.) Approval of the combination of units 3G and 3H into a single unit is also shown on the records of the Department of Buildings as of 01/12/96.

     7.     The combination of apartments pursuant to the Department of Buildings's Memorandum dated February 24, 1969 (Exhibit B to the Cooperative's Notice of Cross Motion) is also shown in the Department's computer records. That Memorandum governs the procedure for combining apartments without obtaining a change to a building's Certificate of Occupancy.

     8.     Approval for the combination of apartments 3D, 3E and 3F into a single dwelling unit is shown on the Department of Buildings record as of 06/27/96.

     9.     Approval for the combination of apartments 6C, 6D and 6E is shown on the Department of Buildings record as of 04/23/97.

     10.      Approval for the combination of apartments 6K and 6L is shown on the Department of Buildings record as of 04/10/98.

     11.     Approval for the combination of apartments 5W and 5X is shown on the Department of Buildings record as of 03/21/00.
